These Terms & Conditions ("Terms") govern your access to and use of the SchedPro software tool, website, and related services (together, the "Service"), provided by SchedPro ("we," "us," or "our"). By purchasing, downloading, installing, or using SchedPro, you agree to these Terms. If you do not agree, do not use the Service.
1. The Software
SchedPro is an Excel-based project controls automation tool that converts a Bill of Quantities into an import-ready Primavera P6 baseline, together with optional server-hosted features. The Service is provided on a per-user license basis as described on our pricing page.
2. Licenses
We offer the licenses described on our website, currently a 1-Year License and a Lifetime License. Each license is granted to a single user and is activated per user. Licenses are hardware-locked and may be tied to the device on which they are activated.
- 1-Year License: grants access to the tool and server-hosted features, including updates, for twelve (12) months from activation. Renewal is optional and performed manually.
- Lifetime License: grants a perpetual license to use the tool, including updates and support as described at the time of purchase.
You may not sell, resell, sublicense, rent, lease, distribute, or share the Service, your license key, or any associated code, in whole or in part, under any circumstances.
3. Free Trial
We may offer a free trial of the Service for a limited period. Trial features and duration are as described on our website at the time you start the trial and may change in the future. We reserve the right to modify or discontinue the trial at any time.
4. Payment
We sell SchedPro directly. Payment is made using one of the methods offered at checkout, which may include InstaPay, mobile wallet, bank transfer, or PayPal. Payment is verified manually, after which your license is delivered. Prices are shown on our pricing page and may be changed at any time; the price applicable to your order is the one displayed at the time of purchase. You are responsible for any taxes that may apply to you under your local law.
5. Acceptable Use
You agree not to: (a) reverse engineer, decompile, or attempt to extract the source code of the Service except to the extent permitted by law; (b) circumvent or tamper with licensing, activation, or security mechanisms; (c) use the Service for any unlawful purpose; or (d) share your license with others.
6. Intellectual Property
The Service, including its code, design, structure, and documentation, is owned by us and protected by intellectual property laws. These Terms grant you a limited license to use the Service and do not transfer any ownership rights to you.
7. Third-Party Software
SchedPro produces files for use with Primavera P6 and operates within Microsoft Excel. "Primavera P6" is a trademark of Oracle, and "Excel" is a trademark of Microsoft. SchedPro is an independent product and is not affiliated with, endorsed by, or sponsored by Oracle or Microsoft. You are responsible for holding any licenses required for that third-party software.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be free of defects. You are responsible for reviewing and validating all schedules and outputs produced using the Service before relying on them.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
10. Termination
We may suspend or terminate your access if you breach these Terms. Upon termination, your license ends and you must stop using the Service. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles. [If you operate through a registered company in another jurisdiction, replace this with that jurisdiction.]
